Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the cybersecurity risk-assessment services (the “Services”) provided by Aether Dynamic Solutions LLC, a Wyoming limited liability company (“Aether,” “we,” “us,” or “our”), through the website at pathirion.com. By creating an account, signing an order, or using the Services, you (the “Client”) agree to these Terms. If you do not agree, do not use the Services.

1. Definitions

“Services” means the cybersecurity risk-assessment and related reporting we provide. “Client Data” means information you submit to us for an assessment. “Report” means the assessment output we deliver. “Authorized Systems” means systems you own or are lawfully permitted to have assessed.

2. The Services

We provide cybersecurity risk assessments of Authorized Systems based on the Client Data you provide and information we gather with your authorization. We may update, improve, or modify the Services over time.

3. Accounts and eligibility

The Services are for businesses, not consumers. You must be at least 18 and authorized to bind your organization. You may sign in using Google; you are responsible for safeguarding your account and for all activity under it.

4. Authorization to assess (very important)

You represent and warrant that you own, or are lawfully authorized to permit assessment of, every system, domain, IP address, or asset you submit or identify for assessment. You authorize Aether to access, scan, and test those Authorized Systems for the purpose of providing the Services.

You must NOT submit or request assessment of any system you do not own or lack authority to scan. Unauthorized scanning may violate law (including the U.S. Computer Fraud and Abuse Act). You are solely responsible for ensuring you have all necessary permissions, and you will indemnify us for any claim arising from systems you were not authorized to submit.

5. Advisory only — no guarantee of security

The Services and any Report are informational only and provided to help you understand your security posture at a point in time. They are based on the Client Data you provide and the scope you authorize. The Services do NOT guarantee security, do NOT prevent or detect all vulnerabilities or breaches, and do NOT constitute a compliance certification (such as SOC 2, HIPAA, or ISO) or legal or professional advice. You remain solely responsible for your own security decisions.

6. Acceptable use

You agree that you will not:

  • Request assessment of systems you do not own or are not authorized to scan;
  • Resell, redistribute, or publish Reports without our written consent;
  • Use the Services for any unlawful purpose or to harm any third party;
  • Reverse engineer, copy, or misuse our methodology, tools, or software.

7. Fees and payment

Plans are available on a monthly, annual, or per-assessment basis, as described at the time of purchase. Payment is made by card (via Stripe) or by bank transfer / ACH. Unless stated otherwise, fees are billed in advance.

Late payments accrue interest at 1.5% per month (or the maximum allowed by law) on the overdue amount. Except where required by law, fees are non-refundable once an assessment has been delivered.

8. Intellectual property and Reports

You retain ownership of your Client Data. Upon payment, we grant you a non-exclusive, non-transferable license to use the Report for your internal business purposes. Aether retains all rights in its methodology, scoring, tools, software, and Report formats. No rights are granted except as expressly stated.

9. Confidentiality and data protection

Each party will protect the other’s confidential information. Our handling of Client Data is governed by our Data Processing Agreement (DPA), which forms part of these Terms. We will notify you without undue delay, and in any event within 72 hours of discovery, of any breach affecting your Client Data.

10. Disclaimer of warranties

THE SERVICES AND REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR THAT ALL RISKS OR VULNERABILITIES WILL BE DETECTED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of liability [LAWYER]

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AETHER’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.

12. Indemnification [LAWYER]

You will defend, indemnify, and hold harmless Aether from any claim, loss, or expense (including reasonable legal fees) arising from: (a) Client Data you submit; (b) systems you submitted without authority to have them assessed; (c) your breach of these Terms; or (d) your use of any Report.

13. Term and termination

These Terms remain in effect while you use the Services. Either party may terminate with 30 days’ written notice. We may suspend or terminate immediately for non-payment or breach. Upon termination, your Client Data will be returned or deleted within 30 days, and any fees owed remain payable.

14. Dispute resolution [LAWYER]

[TO BE FINALIZED WITH COUNSEL] The parties intend to resolve disputes efficiently. Aether is considering binding arbitration and a class-action waiver. Your lawyer should confirm the appropriate, enforceable mechanism for Wyoming before this section is published.

15. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts located in Wyoming, except as may be modified by Section 14.

16. Changes to these Terms

We may update these Terms from time to time. We will update the “Last updated” date and, for material changes, provide reasonable notice. Continued use of the Services after changes take effect constitutes acceptance.
